End User License Agreement (“EULA”)

Effective Date: 2025-10-14

This End User License Agreement (“Agreement”) is between you (“User” or “you”) and ChenTing Huang (“Licensor”, “we”, “us”, or “our”). This Agreement governs your use of the application Synx (the “Application”) and any related APIs or services offered by us. Apple, Inc. is not a party to this Agreement and is not responsible for the Application or enforcement of this Agreement.

1. Acknowledgement

You and we acknowledge that this EULA is between you and us only, and not with Apple. We are solely responsible for the Application, APIs, and their content. This EULA must not impose terms on users that conflict with Apple’s terms and conditions.

2. License Grant

Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable license to use the Application on Apple-branded devices you own or control, in accordance with Apple’s rules. You may not distribute, sublicense, transfer, or make the Application available to multiple users beyond what Apple’s rules allow (e.g. via Family Sharing).

3. Maintenance & Support

We may, but are not obligated to, provide maintenance, support, updates, or upgrades for the Application or APIs. Apple has no obligation to provide such support.

4. Warranty Disclaimer

To the fullest extent permitted by law, the Application and APIs are provided “AS IS” and “AS AVAILABLE,” with all faults and without warranty of any kind. We expressly disclaim all warranties, whether express, implied, statutory or otherwise (including warranties of merchantability, fitness for a particular purpose, accuracy, noninfringement). If the Application or APIs fail to conform to any warranty, you may notify Apple, and Apple may refund your purchase price, but Apple has no further warranty obligations.

5. Limitation of Liability / Product Claims

You agree that, to the maximum extent permitted by applicable law, we (not Apple) are responsible for addressing any claims relating to the Application, APIs, or your use of them, including product liability claims, regulatory compliance claims, or claims under consumer protection laws. We disclaim liability for consequential, incidental, special or punitive damages, and our total liability is limited to the amount you paid for the Application (if any). This limitation cannot exceed what is allowed by applicable law.

6. Intellectual Property / Infringement Claims

All intellectual property rights in the Application, APIs (including code, design, trademarks) belong to us or our licensors. If a third party claims infringement, we (not Apple) shall be responsible for investigating, defending, settling, and any damages or liabilities.

7. API Use Restrictions

You agree that any API, service interface, or backend endpoint made available to you (collectively “APIs”) are subject to additional restrictions as follows:

  1. No Abuse / Rate Limiting
    You shall not use APIs in a way that overloads, overwhelms, or harms the service infrastructure (e.g. sending excessive requests, scraping at scale, denial-of-service behavior).
  2. No Redistribution / Commercial Use
    You shall not use the APIs to build or offer competing products, resell or sublicense the APIs, or incorporate them into other commercial services without prior written consent.
  3. Compliance with Documentation
    You must follow any usage limits, quotas, or policies in our API documentation.
  4. Revocation / Suspension
    We reserve the right to suspend or revoke your API access immediately if you violate this section or impose excessive load, misuse, or unauthorized commercial use.

8. Legal Compliance / Export Controls

You represent and warrant you are not located in or subject to embargoed countries or on any denied-party lists. You may not use the Application or APIs for unlawful purposes.

9. Third-Party Terms

If the Application or APIs interact with third-party services, SDKs, or external websites, your use is subject to their terms. You must comply with those third-party terms.

10. Third-Party Beneficiary

You and we agree that Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance, Apple has the right to enforce it.

12. Changes, Termination & Miscellaneous

Changes: We may modify this EULA; revised terms take effect when posted, and continued use constitutes acceptance.

Termination: If you breach this EULA, your license or API access terminates automatically.

Governing Law & Jurisdiction: This EULA is governed by the laws of Taiwan (Republic of China), and disputes are subject to the exclusive jurisdiction of the courts in Taiwan (Republic of China).

Severability: If any provision is held invalid, the remainder stands.

Entire Agreement: This EULA is the full agreement between you and us regarding the Application and APIs.
